- Luxembourg SPV structure for legal ownership
Investment Risks and Disclaimers
Important: All investments carry risk. You acknowledge that:

- You may lose some or all of your invested capital
- Investments may not be easily liquidated

KYC/AML Requirements
To use our platform, you must:
- Complete a satisfactory Know Your Client (KYC) assessment
- Comply with Anti-Money Laundering (AML) policies
- Provide accurate and truthful information
- Update your information when changes occur
- Verify your identity with government-issued documentation

- Lost wallet access may result in permanent loss of assets

- Smart contract functionality is subject to network operations
Fees and Charges
ML Investments may charge fees for platform services, transactions, and account maintenance. All applicable fees will be disclosed before you complete any transaction. Fees are subject to change with advance notice.

Limitation of Liability
ML Investments and Marketlend shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the platform or investment decisions. Our total liability shall not exceed the amount of fees paid by you to us.
Governing Law
These Terms of Service are governed by the laws of Luxembourg. Any disputes shall be subject to the exclusive jurisdiction of Luxembourg courts.
Account Holder and Investor Checks
We (and our authorised agents) will verify your identity, whether as an Account Holder or an Investor, using third-party identity verification services at the commencement of, and throughout the duration of, our services. Providing all requested documentation is a mandatory pre-condition to using our services.
By using our platform, you consent to the following verification processes:
- Identity & Residency: Verification of government-issued photo ID and formal proof of address (e.g., utility bills or bank statements).
- Financial Due Diligence: Comprehensive Source of Wealth and Source of Funds checks to ensure compliance with anti-money laundering and financial regulations.
- Financial Crime: Continuous screening for fraudulent activity and international sanctions.
- Corporate & Trusts: For bodies corporate or trusts, these checks apply to the entity itself, its beneficial owners, and relevant individuals, including but not limited to directors or trustees.
- Credit Checks (Account Holders only): Evaluation of financial history and creditworthiness.
Modifications
We reserve the right to modify these terms at any time. Continued use of the platform after changes constitutes acceptance of the modified terms.
